Terms of Service

Welcome to Craftle Inc.! These Terms of Service ("Terms") govern your access to and use of the Craftle Inc. web application, including any content, functionality, and services offered on or through our platform (the "Service"). Please read these Terms carefully before you start to use the Service.

1. Acceptance of Terms

By accessing or using our Service, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms or the Privacy Policy, you must not access or use the Service.

If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that entity to these Terms, and your agreement to these Terms will be treated as the agreement of the entity. In that event, "you" and "your" will refer and apply to that entity.

2. Definitions

  • "Service" refers to the Craftle Inc. web application and its associated features and functionalities.
  • "We," "Us," "Our" refer to Craftle Inc..
  • "User," "You," "Your" refer to the individual or legal entity accessing or using the Service.
  • "Content" means any information, text, graphics, images, data, or other materials appearing on or generated through the Service.
  • "Account" means the account you create to access certain features of the Service.

3. User Accounts

To access certain features of our Service, you may be required to create an Account. When creating an Account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your Account password and for any activities or actions under your Account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your Account.

You must be at least 18 years old and capable of entering into a legally binding agreement to create an Account and use our Service.

4. Use of the Service

4.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is provided for business-to-business (B2B) transactions, specifically for interior designers and related professionals to browse furniture catalogs, create projects, and request quotes or place orders for furniture and related items.

4.2 Prohibited Use

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Craftle Inc., a Craftle Inc. employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Craftle Inc. or users of the Service or expose them to liability.
  • To decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for the Service.
  • To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.

5. Orders, Payments, and B2B Transactions

Our Service allows you to browse products, create project lists, and submit requests for quotes or orders. All order requests are subject to acceptance by us. We reserve the right to refuse or cancel any order request for any reason, including but not limited to product availability, errors in the description or price of the product, or errors in your order request.

Prices for products are subject to change without notice. Unless otherwise stated, prices do not include shipping costs, taxes (such as Value Added Tax - VAT), customs duties, or other governmental fees, which are your responsibility.

For tax-exempt purchases (e.g., for resale), you must provide a valid and current Resale Certificate, VAT registration number for B2B purposes, or other relevant tax exemption documentation acceptable to us and the relevant tax authorities. You can manage this documentation in your Account Settings. The final invoice will reflect your verified tax status.

Payment terms will be communicated to you upon order confirmation and typically involve an invoice issued by us. Specific payment deadlines and methods will be outlined on the invoice. Late payments may incur interest charges or suspension of services.

Shipping and delivery terms, including estimated lead times and costs, will be communicated as part of the order confirmation process. Risk of loss and title for products pass to you upon our delivery to the carrier, unless otherwise agreed in writing (e.g., under specific Incoterms).

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Craftle Inc., its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your legitimate business purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as it is an intended part of the Service functionality.

7. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your Account, you may do so by contacting us or through any Account deletion functionality provided by the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Craftle Inc. MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT WILL Craftle Inc., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless Craftle Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Governing Law and Jurisdiction

All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware, USA without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, USA. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Waiver and Severability

No waiver by Craftle Inc. of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Craftle Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Craftle Inc. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice (e.g., via email or a prominent notice on the Service) prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
